Acceptance of Terms
By downloading, installing, or using any Caffeinated Softworks application, you agree to these Terms of Service. If you do not agree, do not use our apps. We may update these terms from time to time, and continued use of our applications constitutes acceptance of any changes.
The Service
Caffeinated Softworks provides software applications that may include local data storage and optional cloud sync features. We provide our services “as is” and make no guarantees about availability, uptime, or suitability for any particular purpose.
We reserve the right to modify, suspend, or discontinue any part of the service at any time. For paid subscriptions, we will provide reasonable notice before discontinuing sync services.
Your Account
You are responsible for maintaining the security of your account credentials. You must provide accurate information when creating an account. You may not share your account or use someone else’s account without permission.
We may suspend or terminate accounts that violate these terms or are used for illegal purposes.
Your Content
You retain ownership of all content you create in our applications. We do not claim any rights to your content. You are responsible for the content you create and store.
You grant us a limited license to store and transmit your content solely for the purpose of providing sync services. We do not access, read, or analyze your content except as required to provide technical support you request.
Subscriptions and Payments
Some applications offer optional paid subscriptions for premium features or cloud sync. Subscriptions are billed through the platform where you purchased (Apple App Store, Google Play Store, or our website via Stripe).
Subscriptions automatically renew unless cancelled before the renewal date. Refunds are handled according to the policies of the platform where you purchased. We do not store your payment information directly.
Prohibited Uses
You may not use our applications to:
- Store or transmit illegal content
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt the service
- Reverse engineer or attempt to extract source code
- Resell or redistribute our applications
Limitation of Liability
To the maximum extent permitted by law, Caffeinated Softworks, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, arising from your use of our applications.
Our total liability for any claims related to the service shall not exceed the amount you paid us in the 12 months preceding the claim.
Disclaimer of Warranties
Our applications are provided “as is” without warranties of any kind, either express or implied. We do not warrant that the service will be uninterrupted, error-free, or secure. You use our applications at your own risk.
We strongly recommend maintaining your own backups of important data.
Apple App Store
The following terms apply when you download or use our applications through the Apple App Store. In this section, “Licensed Application” refers to any Caffeinated Softworks application obtained through the App Store, and “End-User” refers to you.
Acknowledgement. This agreement is between you and Caffeinated Softworks, LLC only, and not with Apple, Inc. (“Apple”). Caffeinated Softworks, not Apple, is solely responsible for the Licensed Application and its content. These terms may not conflict with the Apple Media Services Terms and Conditions.
Scope of License. The license granted to you for the Licensed Application is a non-transferable license to use the Licensed Application on any Apple-branded products that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions. The Licensed Application may be accessed and used by other accounts associated with the purchaser via Family Sharing or volume purchasing.
Maintenance and Support. Caffeinated Softworks is solely responsible for providing maintenance and support services for the Licensed Application. Apple has no obligation to furnish any maintenance and support services with respect to the Licensed Application.
Warranty. Caffeinated Softworks is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Licensed Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Licensed Application to you. To the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever with respect to the Licensed Application, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty are Caffeinated Softworks’ sole responsibility.
Product Claims. You and Caffeinated Softworks acknowledge that Caffeinated Softworks, not Apple, is responsible for addressing any claims relating to the Licensed Application or your possession and use of the Licensed Application, including but not limited to: (i) product liability claims; (ii) any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
Intellectual Property Rights. In the event of any third-party claim that the Licensed Application or your possession and use of the Licensed Application infringes that third party’s intellectual property rights, Caffeinated Softworks, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.
Legal Compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
Third-Party Terms of Agreement. You agree to comply with applicable third-party terms of agreement when using the Licensed Application. For example, you must not violate your wireless data service agreement when using the Licensed Application.
Third-Party Beneficiary. You and Caffeinated Softworks acknowledge and agree that Apple, and Apple’s subsidiaries, are third-party beneficiaries of these terms as they relate to the Licensed Application. Upon your acceptance of these terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these terms against you as a third-party beneficiary thereof.
